Surrogate Outreach Ambassador Program Agreement (BC) v1.0 / 2026-02-27

This Surrogate Outreach Ambassador Program Agreement (the “Agreement”) is entered into between True Match Surrogacy Ltd. (the "Agency"), a business incorporated under the laws of the Province of British Columbia, with a mailing address of PO Box 21077, 2271 Harvey Avenue, Kelowna, BC, V1Y 9N8 and you, the applicant.

Education & Employment


1. Purpose and Nature of This Document

The Outreach Partner is engaged to provide independent marketing, educational, and community outreach services to increase awareness of altruistic surrogacy opportunities in Canada and to refer potential surrogate applicants to the Agency.

Compensation under this Agreement is strictly for marketing and outreach services and not for arranging, procuring, or compensating surrogacy.

2. Compliance With Canadian Law

The parties acknowledge that:

- Surrogacy in Canada is governed by the Assisted Human Reproduction Act (AHRA).

- Surrogates may only receive reimbursement of permitted expenses.

- No compensation may be paid in exchange for pregnancy, birth, or reproductive outcomes.

- The Outreach Partner shall not offer, promise, or imply any financial gain to a surrogate beyond legally permitted reimbursements.

The Outreach Partner agrees to operate in full compliance with all federal and provincial laws of British Columbia and Canada.

3. Scope of Services

The Outreach Partner shall provide one or more of the following services:

- Community education regarding altruistic surrogacy

- Distribution of Agency-approved informational materials

- Social media outreach using Agency-approved messaging

- Hosting informational sessions or webinars

- Referral of potential surrogate applicants through Agency intake channels

The Outreach Partner shall not:

- Provide medical advice

- Provide legal advice

- Negotiate surrogate agreements

- Screen or approve surrogates

- Guarantee acceptance into the program

4. Milestone-Based Marketing Compensation

Compensation is tied solely to administrative milestones completed by a referred applicant and reflects marketing performance only.

Maximum total compensation per referred surrogate applicant: $1,000 CAD

Milestone #1

$100 - Referred applicant completes agency acknowledgement and meets surrogate eligibility requirements.

Milestone #2

$250 - Applicant signs agency representation agreement and completes interview.

Milestone #3
$6 - Applicant successfully clears psychological and medical screening.

Total possible compensation per fully qualified surrogate: $1,000 CAD.

No compensation shall be paid for:

- Embryo transfer
- Confirmation of pregnancy
- Live birth
- Any medical outcome

Payments will be issued within 30 days of milestone verification.

5. Definition of Qualified Applicant

A “Qualified Applicant” must:

- Be between 21 and 40 years of age

- Be a Canadian citizen or permanent resident

- Have previously carried at least one uncomplicated pregnancy

- Be a non-smoker and substance-free

- Meet clinic BMI and medical standards

- Pass initial background screening

The Agency retains sole discretion in determining qualification status.

6. Ethical Standards & Messaging Restrictions

The Outreach Partner agrees:

- Not to target financially vulnerable individuals

- Not to use coercive or income-focused messaging

- Not to advertise surrogacy as a source of income

- Not to use unapproved marketing materials

- Not to misrepresent compensation structures

- Not to imply guaranteed matching or acceptance

All promotional materials must be pre-approved in writing by the Agency.

7. Independent Contractor Status

The Outreach Partner is an independent contractor and not an employee, agent, or representative of the Agency.

The Outreach Partner:

- Is responsible for their own taxes

- Has no authority to bind the Agency contractually

- Shall not present themselves as an employee of the Agency

8. Confidentiality

The Outreach Partner shall maintain strict confidentiality regarding:

- Surrogate applicants

- Intended parents

- Medical information

- Agency processes

- Compensation structures

This obligation survives termination of this Agreement.

9. Term and Termination

This Agreement begins on the Effective Date and continues month-to-month unless terminated.

Either party may terminate with 14 days written notice.

Immediate termination may occur if:

- Legal non-compliance is suspected

- Misrepresentation occurs

- Ethical violations occur

- Messaging violates AHRA principles

Compensation for verified milestones completed prior to termination will be honored.

10. Indemnification

The Outreach Partner agrees to indemnify and hold harmless the Agency against any claims arising from:

- Misrepresentation

- Unauthorized medical or legal advice

- Non-compliant advertising

- Violation of Canadian law

11. Limitation of Authority

The Outreach Partner has no authority to:

- Approve surrogate applicants

- Offer financial terms

- Modify Agency contracts

- Negotiate reimbursement terms

12. Governing Law

This Agreement shall be governed by the laws of the Province of British Columbia and the laws of Canada applicable therein.

13. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions. Any amendments must be made in writing and signed by both parties.
